The Adani Group, led by chairman Gautam Adani, has successfully settled charges related to minimum public shareholding (MPS) violations. On Monday, the Securities and Exchange Board of India (SEBI) announced that the group, along with four of its companies and 13 other individuals, would be cleared of the proceedings after paying a settlement fee of ₹1.48 crore.

The companies involved in this settlement include Adani Enterprises Ltd, Adani Power Ltd, Adani Ports and Special Economic Zone Ltd, and Adani Transmission Ltd, which has been rebranded as Adani Energy Solutions Ltd. The proceedings were initiated following complaints received by SEBI in June and July of 2020, which alleged that certain listed entities of the Adani Group were not in compliance with MPS regulations.

SEBI began its investigation on October 23, 2020, after conducting a preliminary examination of the complaints. The regulator issued a show-cause notice (SCN) on September 27, 2024, followed by a supplementary SCN on March 3, 2025. These notices detailed allegations of violations concerning MPS requirements as outlined in the Securities Contracts (Regulation) Rules and the previous Listing Agreement and SEBI's Listing Obligations and Disclosure Requirements (LODR) Regulations.

In response to the allegations, the Adani Group opted to settle the matter without admitting or denying the facts or legal conclusions. The payment of ₹1.48 crore has led SEBI to dispose of the proceedings related to the SCN and supplementary SCN, effectively clearing the group of the charges.

This resolution marks a significant moment for the Adani Group, as it navigates regulatory scrutiny while continuing its operations across various sectors. The implications of this settlement may influence investor confidence and the group's future compliance strategies as they move forward in the market.
